Job description: OverviewHow you can make a differenceThe Corporate Counsel is a key member of HealthEquity’s legal department, with a focus on commercial contract review and negotiations. The Corporate Counsel is responsible for overseeing the drafting, negotiation, and review of a broad range of contracts to ensure legal compliance, minimize risk, and support business objectives. This includes reviewing commercial agreements (e.g., vendor, customer, partnership, licensing), identifying legal risks, advising stakeholders during negotiations, and ensuring terms align with the company’s legal standards and strategic goals.What you’ll be doing
- Review and negotiate revenue and service partner (vendor) contracts to ensure terms are reasonable, within the scope of the products and services currently offered, and within the company’s risk tolerances
- Commercial and government contract review and negotiation with heavy volume during the months September through January
- Review public and private sector Request for Proposals /Information (RFPs) to ensure responses are accurate from a legal perspective and align with the company’s ability to comply with all resulting contractual obligations
- Provide support to the Associate General Counsels, RFP response and procurement teams for client and service partner (vendor) agreements
- Work closely with Contract Administration team
- Understand current & future product/services road map, service capabilities and limitations, and pricing models
- Ensure that contractual obligations are reviewed and approved by appropriate team members in the business
- Maintenance of agreement forms, playbooks and negotiation guides
- Support Associate General Counsels and senior leadership with ad hoc projects and initiatives
- Licensed to practice law in any US jurisdiction
- Strong academic credentials; JD from a leading law school
- 10-12+ years of experience of in-house business contracting experience
- Knowledge of ERISA welfare benefit plans, HSA, and privacy regulation
- Experience negotiating procurement agreements with public sector clients is highly desired but not required.
- Understanding of the technology behind information security, such as threat models/vectors, and how the technologies can respond or be deployed to counter the threats (TLS, two factor authentication, AES, PKI)
- Working knowledge and/or experience in ADEA, ADA, FMLA, USERRA as they impact benefit plans administered for our clients
- Ability to comfortably interact at senior level with business management

- Excellent judgment, attention to detail, and ability to handle sensitive and confidential information
- Ability to handle ambiguity, juggle many matters at once, and quickly shift from one situation or task to another
- Solution oriented and talent for thinking outside of the box in confronting new issues and pursuing novel approaches to old problems
- License to practice law

Expected salary: $127000 - 165000 per year
